1. Acceptance of Terms
By accessing or using the Poce Technology platform, APIs, websites, and related services (collectively, the "Services") provided by Poce Technology Inc. ("Poce Technology," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not access or use the Services.
2. Account Registration
To access certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
3. Services Description
Poce Technology provides cross-border digital trade infrastructure, including but not limited to multi-currency settlement, payment processing, API integration, compliance tools, logistics coordination, and supply chain management solutions. The specific Services available to you depend on your subscription plan and may be modified, updated, or discontinued at our discretion with reasonable notice.
4. API Usage and Restrictions
Access to our APIs is subject to rate limits, usage quotas, and technical restrictions as specified in our API documentation. You agree not to: (a) exceed rate limits or circumvent usage restrictions; (b) use the APIs in a manner that violates applicable laws or regulations; (c) reverse engineer, decompile, or disassemble any aspect of the Services; or (d) use the Services to develop a competing product or service.
5. User Obligations
You agree to comply with all applicable laws, regulations, and industry standards in your use of the Services. You are solely responsible for the accuracy, quality, and legality of all data and content you transmit through the Services. You agree not to use the Services for any unlawful, fraudulent, or unauthorized purpose, including but not limited to money laundering, terrorist financing, or sanctions evasion.
6. Fees and Payment
Fees for the Services are set forth in your subscription agreement or pricing page. Unless otherwise stated, all fees are quoted in United States Dollars (USD) and are non-refundable. We reserve the right to change our fees upon thirty (30) days' notice. You are responsible for all taxes, duties, and governmental assessments associated with your use of the Services.
7. Intellectual Property
Poce Technology and its licensors retain all right, title, and interest in and to the Services, including all intellectual property rights therein. These Terms do not grant you any right to use our trademarks, logos, or branding without prior written consent. Any feedback, suggestions, or ideas you provide regarding the Services may be used by us without restriction or compensation.
8. Confidentiality
Each party agrees to protect the confidential information of the other party using the same degree of care as it uses to protect its own confidential information, but in no event less than reasonable care. Confidential information includes but is not limited to trade secrets, business plans, technical specifications, API keys, and customer data. This obligation survives termination of these Terms.
9. Data Protection
The parties shall comply with applicable data protection laws in their handling of personal data. To the extent that we process personal data on your behalf, the terms of our Data Processing Agreement (DPA) shall apply. Our Privacy Policy describes how we collect, use, and protect your information.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, POCE TECHNOLOGY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES. IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE FEES PAID BY YOU FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless Poce Technology and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses arising out of or related to: (a) your violation of these Terms; (b) your use of the Services; (c) your violation of any third-party rights; or (d) your violation of applicable laws or regulations.
12. Termination
Either party may terminate these Terms for convenience with thirty (30) days' written notice. We may immediately suspend or terminate your access to the Services if you breach these Terms or if required by law. Upon termination, your right to use the Services will cease immediately, and we will delete your data in accordance with our data retention policies.
13. Disclaimers
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
14. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, USA, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in Denver, Colorado. The prevailing party in any legal action shall be entitled to recover its reasonable attorneys' fees and costs.
